## Intake and evidence guide

### Start with a defined matter

Record the company, task, reference date and whether the material is fictional or approved for the environment. Use one company per matter. This library covers annual planning and ordinary director appointment preparation only. Other officer roles, nominee/controller filings, share transactions, name/FYE changes, buybacks and late-compliance remedies require separate reviewed guidance.

The following is a recommended working-paper method, not a legal requirement or access-control mechanism.

User statements are identifiable sources, but are not automatically documentary proof. Record planned dates separately from actual dates. If two sources conflict, retain both values and ask which evidence establishes the current position. Do not silently choose the newer file solely because its filename is newer.

### Data handling

For classroom cases use placeholders instead of valid UENs, national identifiers, residential addresses and signatures. For approved work, request confirmation that required evidence exists and its controlled location; do not routinely request full IDs or credentials in chat. Actual evidence belongs in appropriately restricted company records, not in this reusable library.

### Draft handover

Include facts, unknowns, conditional conclusions, an action table, source links and open questions. An evidence reference does not establish that the agent accessed that document. A draft is not a signed resolution or completed filing.

### Fictional illustration

Harbour Learning Pte. Ltd. proposes a director appointment but supplies no constitution. Record appointment authority as UNKNOWN. A useful output is a conditional outline plus the documents required to establish authority; it is not a statement that the board possesses the power or has approved the appointment.

## Annual compliance planning guide

### Route selection

First confirm non-listed/private status, FYE, actual FS circulation, any dispensation resolution and meeting requests. A planned circulation date does not establish eligibility. These distinct routes need separate evidence:

Member/auditor safeguards still matter: ACRA describes member requests up to 14 days before the six-month deadline, and requests within 14 days of receiving FS that require a general meeting within 14 days. Check the applicable route and request dates; escalate uncertainty. Basis: S01, checked 2026-09-24.

### Annual return

For non-listed companies, ACRA states seven months after FYE, or eight months where the company has share capital and an overseas branch register. Live companies remain subject to AR filing even when inactive/dormant. An IRAS tax waiver is not an AR waiver. Do not treat changing FYE after the filing deadline as a remedy. ### Four separate financial-statement decisions

Record four conclusions independently: preparation obligation; audit requirement; filing obligation; filing format. Small-company audit exemption does not itself change financial-statement filing requirements (S07). ACRA distinguishes dormant relevant companies, solvent EPCs and other filing categories; the applicable format may be Full XBRL, Simplified XBRL plus PDF, or another prescribed category (S06). Do not infer classification from a company name, turnover alone or the phrase “small business”. Obtain the relevant company/group facts and qualified review rather than substituting a generic PDF rule.

Calendar months are not fixed 30-day periods. Show the triggering FYE, calculation and branch used. Record extensions only when evidence supports them. Do not automatically move a deadline falling on a weekend; verify the applicable rule. Set internal targets separately from statutory dates.

### Fictional illustration

Orchard Practice Pte. Ltd.: FYE 31 December 2026; non-listed; no overseas branch register. Proposed FS dispatch 15 May 2027 remains pending. Planning dates are 31 May 2027 for the five-month route, 30 June 2027 if AGM is required, and 31 July 2027 for the ordinary AR branch. This illustrates arithmetic, not confirmation of exemption or completion. Changes to facts or law require reassessment.

### Handover review

Confirm the route, actual evidence, requests and extensions; identify the authorised filer. Keep approvals, meeting records and transaction receipts separate. This guide does not determine penalties, prepare XBRL, submit ARs or resolve overdue cases.

## Director appointment preparation guide

### Scope and authority

Use for an ordinary director appointment outline. Do not extrapolate to alternate/managing directors, cessations or other offices. Obtain the constitution and establish the actual appointment route before choosing a board or member resolution. Record approving body, relevant clause, quorum, voting and conflict requirements as UNKNOWN until supported. A model constitution is not proof of this company's adopted constitution.

### Eligibility and consent review

Record proposed age, eligibility/non-disqualification, residency and nominee status as separate facts. General ACRA guidance includes age 18 or above and non-disqualification. Confirm the company retains at least one ordinarily resident director; do not infer every director must be resident or that possession of a work pass is sufficient. FIN-holder cases require checking the relevant pass-issuing authority's consent requirements. Sources: S03/S04; current role-specific assessment required.

ACRA amended Form 45 effective 6 May 2026, including money-laundering disqualification and statutory-obligation declarations. Use the current official form reached through S05, and retain the completed form as company records. This library supplies a checklist, not a substitute official form. Do not generate a signature or report consent as obtained without evidence.

### Notification planning

ACRA guidance specifies notification within 14 days of appointment/withdrawal. The authorised filer must separately check whether endorsement is needed and track it; submission or pending endorsement is not proof of acceptance. Do not confuse the notification deadline with endorsement timing. For a fictional effective appointment on 1 October 2026, adding 14 calendar days gives 15 October 2026, subject to confirmation of the actual effective date and applicable rule. ### Wording check

Acceptable: “Consent remains outstanding; appointment is proposed subject to verified authority and required approvals.”
Unacceptable without evidence: “The company has received consent and approved the appointment.” A draft heading does not make the latter factual claim safe. No recital should manufacture completed checks.

### Library review checklist

Apply the firm's approved retention schedule and any legal hold; this guide does not prescribe blanket permanent retention or automatic deletion.

Recommended statuses:

### Evidence handover

For each completed step identify the document/transaction reference, actual date, responsible person and review status. Do not manufacture transaction numbers. If the agent cannot access a reference, say “location supplied by user; not inspected”. Record corrections transparently instead of deleting conflicting facts.

### Access and confidentiality

Keep this reusable knowledge library generic. Company evidence belongs in an approved restricted location. Platform permissions enforce access, not folder names or prompts. A tracker is neither a durable audit system nor a security boundary. The current agent cannot create folders, alter registers, save records or send documents merely because this guide describes those activities.

### Scope cautions

S08 could not be retrieved during this build: do not claim this release independently checked statutory sections, proxy mechanics, notice periods or the legal effect/duration of a dispensation resolution. Those template fields remain review placeholders.

S03 and S04 use different wording about managing-director filings. Do not resolve that discrepancy by assumption; this release covers ordinary director appointment preparation only. Escalate role-specific issues.

S09 is retained to flag a correction to the legacy checklist: share transfers must not be described as requiring no ACRA filing. Full share-transfer and stamp-duty procedures are outside scope. IRAS material should be added and reviewed when that module is commissioned, not treated as checked in this release.

### Maintenance procedure (recommended)

Assign an owner to each guide. Recheck before operational reliance, after a regulatory notice, and on a scheduled internal review cycle. Record changed requirements, affected templates, version, reviewer and effective date. Remove superseded copies from the active retrieval collection while retaining a controlled archive outside it. Adding a URL is not proof that Copilot has retrieved or indexed that page.

### Citation pattern

For a conclusion, identify the exact official page URL, relevant rule and the date actually checked. If no live retrieval occurred, say “Library reference checked 2026-09-24; current verification pending”. Do not change that into “checked today”. Record the company-specific evidence separately from the general legal source.
